Statute

A non-profit association is established in accordance with article 78 of the Civil Code with the Greek name “Association of Hellenic Companies-Research Offices”, with the abbreviation S.E.G.M. ASSOCIATION OF CONSULTING FIRMS”, abbreviated HELLASCO. The seat of the Association is Athens.

1. The objectives of the Association are:

a) the defense and securing of the professional rights of its members. b) the continuous improvement of the conditions for practicing the profession of its members c) the continuous development and expansion of the activities of its members d) the promotion of cooperation between its members e) the promotion of the Project of its members to society as a whole f) the development of the scientific level of its members.

2. For the realization of the above purposes, it takes all the legal measures that are deemed necessary in each case and takes the necessary actions to promote them. In particular:

a) cooperates with the competent bodies for the formation and development of the institutional framework that governs the activities of its members in Greece b) cooperates with national and international service awarding bodies to promote the professional goals of its members c) seeks at every opportunity through the correct application of the applicable institutional framework by the bodies assigning services to its members d) makes presentations, proposals or announcements to the competent authorities of the Greek state or the European Union or other international bodies, for the promotion and implementation of the objectives of the Association e) appeals to the Court for the defense of the interests of its members independently or assisting in corresponding appeals of its members f) negotiates and signs collective labor agreements concerning its members g) participates in relevant international organizations and their activities h) undertakes alone and/or in collaboration with other bodies research and studies related to the field of studies and services, to promote its purposes i) participates in Greek or international programs to support the development of its offices and the Association itself j) organizes and participates in events and conferences with the aim of promoting the goals of the Association k) informs its members about national and international trends regarding the conditions of practicing the profession l) organizes and participates in training seminars related to its purposes m) publishes magazines, books and other publications related to its purposes and activities ιδ) συγκεντρώνει και παρουσιάζει ή εκδίδει στοιχεία και πληροφοριακό υλικό για τα μέλη του και τις δραστηριότητές τους ιε) εκδίδει ή συμμετέχει στην έκδοση πιστοποιητικών ποιότητας και άλλων πιστοποιήσεων για τα μέλη του ιστ) χορηγεί βεβαιώσεις για τα μέλη του για πληροφορίες που είναι στην διάθεση του.

1. Members of the Association can be companies of studies and consultants, organized in any corporate form according to the laws of the Greek State, as long as:

a) are mainly engaged in studies, research, control of studies, supervision, provision of consulting services and management of technical or development projects or other related technical and scientific services in Greece or abroad. b) the above activity is essential and profitable at the discretion of the Board of Directors of the Association.

2. Registration is made following a request from the interested parties, which includes a declaration of acceptance of the terms of this Statute, as well as of the Code of Ethics. The registration is made by decision of the Board of Directors, as to the existence of the conditions of the previous paragraph at its reasonable discretion, after a relevant application for registration by the company concerned.

In the case of any negative decision of the Board of Directors, the interested party may appeal by document to the immediately following regular General Assembly, which decides definitively and definitively.

3. In case the conditions of paragraph 1 disappear, the member is deleted by decision of the Board of Directors. An appeal against this decision can be filed in writing at the immediately following regular General Assembly.
4. By decision of the Board of Directors, following a relevant request from a member company, its participation in the Association may be suspended for a period of one year.

1. The members of the Association have an obligation to pay upon registration a fixed amount, annual subscriptions or extraordinary contributions determined by a decision of the General Assembly. The annual subscription is payable by October 31 of each calendar year.
2. The Board of Directors may delete a member who has not paid his subscription to the Association for at least two consecutive years. A member who was deleted for this reason can be readmitted to the Association following the procedure of article 3 par. 2, as long as he fulfills all his obligations up to the deletion.
3. Other resources of the Association may come from any legal source (subsidies, aids, donations, legacies, legacies, etc.). as well as income from its activities, such as:

a) researches and studies undertaken to promote its purposes b) Greek or international programs to support the development of the offices c) participation in events and conferences d) participation in training seminars e) advertisements in magazines, books and other publications that it publishes (in printed or digital form) and on the website of the Association f) sale or distribution of magazines, books and other publications g) generally any activity that falls under its purposes.

Every member of the Association has the right to participate in all events of the Association. 2. Members who have fulfilled their financial obligations to the Association have the right to participate and vote in the Association’s General Assemblies. 3. The right to be elected members of the Board of Directors are the representatives in the Union of the members who have the right to participate and vote in the General Assemblies and who have the status of partner or shareholder or executive of these members, as well as the status of researcher or consultant . 4. The members of the Association have the right to withdraw from it, after notifying the Board of Directors of their decision in writing before the end of the accounting year, and the withdrawal is valid for the end of that year. The members who leave must, before the notification of the withdrawal, pay any arrears of subscriptions and contributions of the previous years and the year in which the withdrawal takes place and, in general, pay off all their debts to the Association. The Association has the right to claim the payment of the debts in any legal way.
